These Terms of Use ("Terms") govern your access to and use of the website located at muwpay.xyz and any related interfaces, applications, smart contracts, or services (collectively, the "Platform") operated by MUWPay SAS, a simplified joint-stock company (société par actions simplifiée) incorporated under French law, registered under RCS number 948 574 066 R.C.S. Nanterre, with its registered office at 120 Rue Jean Jaurès, 92300 Levallois-Perret, France ("Company", "we", "us", or "our").
Please read these Terms carefully before accessing or using the Platform. By connecting a wallet, accessing any feature, or otherwise interacting with the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Platform.
1. Acceptance of Terms
By accessing or using the Platform in any manner — including browsing the website, connecting a compatible blockchain wallet, initiating a swap or bridge transaction, or using any API or widget provided by MUWPay — you enter into a legally binding agreement with the Company under these Terms. Your continued use of the Platform following any modification to these Terms constitutes acceptance of the revised Terms.
If you are accessing the Platform on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and all references to "you" shall include that entity.
2. Description of Services
MUWPay provides a non-custodial, decentralized infrastructure layer that aggregates cross-chain decentralized exchanges (DEXs) and bridge protocols, enabling users to:
- Swap multiple tokens simultaneously across one or more blockchain networks in a single transaction or coordinated set of transactions;
- Route token transfers across supported blockchain bridges to move assets between chains;
- Access aggregated liquidity from third-party DEX protocols, automated market makers (AMMs), and bridge providers;
- Interact with smart contracts deployed on public, permissionless blockchain networks.
The Platform is a software interface only. MUWPay does not hold, custody, control, or take possession of any digital assets at any time. All transactions are executed directly by you through your self-custodied wallet against smart contracts on public blockchains. MUWPay does not operate a centralized exchange, does not pool user funds, and does not act as a counterparty to any trade.
The availability, performance, and accuracy of third-party DEX and bridge protocols integrated into the Platform are outside MUWPay's control. MUWPay does not guarantee the continuous operation, accuracy, or security of any third-party protocol.
3. Eligibility and Restricted Jurisdictions
To use the Platform, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction if higher;
- Have full legal capacity to enter into binding contracts;
- Not be a resident, national, or citizen of, nor located in, any jurisdiction where access to decentralized finance (DeFi) services or digital asset transactions is prohibited, restricted, or requires a license not held by MUWPay.
Restricted Persons. The Platform is not available to:
- U.S. Persons — individuals or entities subject to U.S. jurisdiction, including U.S. citizens, U.S. residents, entities organized under U.S. law, or persons located in the United States of America or any of its territories;
- Persons located in or residents of countries subject to comprehensive economic sanctions administered by the European Union, the United Nations Security Council, or other applicable authorities, including but not limited to Iran, North Korea, Syria, Cuba, Russia (to the extent restricted by applicable EU sanctions), and Belarus;
- Persons appearing on any sanctions list maintained by competent authorities, including the EU Consolidated List, the UN Consolidated List, or equivalent national lists;
- Any person or entity whose use of the Platform would violate applicable law.
By accessing the Platform, you represent and warrant that you are not a Restricted Person. MUWPay reserves the right to implement technical controls, including geo-blocking and wallet screening, to enforce these restrictions. We may terminate or restrict your access at any time if we reasonably believe you do not meet the eligibility requirements.
4. User Responsibilities
You are solely responsible for:
- Wallet security. Safeguarding your private keys, seed phrases, hardware wallets, and any credentials used to access your self-custodied wallet. MUWPay has no ability to recover lost keys or reverse transactions;
- Transaction verification. Reviewing all transaction details — including token amounts, smart contract addresses, gas fees, slippage tolerances, and destination chains — before signing any transaction with your wallet;
- Regulatory compliance. Ensuring your use of the Platform complies with all laws applicable to you in your jurisdiction, including tax obligations, capital control regulations, and anti-money laundering (AML) requirements;
- Due diligence. Conducting your own research on any token, protocol, liquidity pool, or bridge before transacting;
- Network fees. Paying all gas fees and network transaction costs associated with on-chain interactions, which are determined by public blockchain networks and are beyond MUWPay's control.
MUWPay is not responsible for losses arising from user error, incorrect wallet addresses, misconfigured slippage settings, front-running, or any other action or omission on the part of the user.
5. Risk Disclosures
Interacting with blockchain-based DeFi protocols carries significant risks. By using the Platform, you acknowledge and accept all of the following risks, without limitation:
5.1 Cryptocurrency Volatility
Digital assets are highly speculative and can lose all value within a short period. Past performance is not indicative of future results. You may receive fewer tokens than expected due to price movements occurring during transaction processing.
5.2 Smart Contract Risk
The Platform interfaces with smart contracts deployed on public blockchains by third parties. Smart contracts may contain bugs, vulnerabilities, or logic errors that could result in partial or total loss of funds. No audit eliminates all risk. Transactions executed on-chain are irreversible.
5.3 Bridge and Cross-Chain Risk
Cross-chain bridges aggregate liquidity from external protocols and introduce additional layers of technical complexity. Bridge smart contracts have historically been exploited in high-profile security incidents. Bridging assets may result in delays, failed transactions, or permanent loss of funds due to exploits, liquidity shortfalls, or network failures.
5.4 Impermanent Loss
Where the Platform routes trades through automated market makers (AMMs), users may be exposed to impermanent loss — the reduction in asset value compared to simply holding the tokens — due to price divergence within liquidity pools.
5.5 Gas Fees and Network Congestion
Blockchain network fees (gas) fluctuate based on network demand and are charged regardless of whether a transaction succeeds or fails. During periods of high congestion, fees may significantly exceed the value of the transaction.
5.6 Slippage and MEV
Token prices may move between the time you submit a transaction and the time it is confirmed on-chain (slippage). Additionally, miners, validators, or bots may reorder or front-run your transaction to extract value (Maximum Extractable Value / MEV), resulting in worse execution prices.
5.7 Regulatory Risk
The regulatory environment for digital assets and DeFi is rapidly evolving. Changes in laws or regulations in your jurisdiction or elsewhere may restrict, tax, or prohibit your use of the Platform or the assets you hold.
5.8 Protocol and Third-Party Risk
MUWPay aggregates third-party protocols, liquidity sources, and oracles. The failure, exploitation, or discontinuation of any integrated protocol is beyond MUWPay's control and may adversely affect your transactions.
You should only interact with the Platform using funds you can afford to lose entirely. MUWPay does not insure or guarantee any transaction outcome.
6. Intellectual Property
The Platform, including all software, code, algorithms, user interfaces, visual design, text, graphics, logos, and other content, is the exclusive property of MUWPay SAS or its licensors and is protected by applicable intellectual property laws, including French and international copyright, trademark, and trade secret law.
Subject to your compliance with these Terms, MUWPay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial purposes. This license does not include the right to:
- Copy, modify, distribute, sell, or sublicense any part of the Platform;
- Reverse engineer, decompile, or disassemble any software component of the Platform (except where permitted by mandatory law);
- Remove or alter any proprietary notice, label, or copyright on any part of the Platform;
- Use any MUWPay trademark, logo, or brand element without prior written consent.
Open-source components of the Platform may be subject to their respective open-source licenses, which are separately applicable.
7. Disclaimers & Limitation of Liability
The following provisions apply to the maximum extent permitted by applicable law.
7.1 "As Is" Disclaimer. The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. MUWPay expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. MUWPay does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components.
7.2 No Guarantee of Results. MUWPay makes no representation that any transaction facilitated through the Platform will be executed at any particular price, within any particular time, or at all. Quoted prices, rates, and estimates are indicative only and may differ from actual execution results.
7.3 Limitation of Liability. To the fullest extent permitted by applicable law, MUWPay SAS, its shareholders, directors, employees, agents, partners, and licensors shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, goodwill, or business opportunities;
- Losses arising from smart contract exploits, hacks, or protocol failures;
- Losses resulting from unauthorized access to or alteration of your wallet or transactions;
- Losses due to your reliance on price quotes, routing suggestions, or any other information displayed on the Platform;
- Any force majeure event, including blockchain network failures, regulatory actions, or internet disruptions.
In any case where MUWPay is found liable — notwithstanding the above — the Company's total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Platform shall not exceed the greater of (a) EUR 100 or (b) any platform fees actually paid by you to MUWPay in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, the above limitations may apply only to the extent permitted by law.
8. Prohibited Uses
You agree that you will not use the Platform to:
- Engage in money laundering, terrorist financing, sanctions evasion, or any other activity prohibited by applicable law;
- Conduct, facilitate, or conceal transactions involving the proceeds of crime or illegal activity;
- Circumvent, disable, or interfere with security-related features of the Platform or any connected blockchain;
- Introduce malware, exploits, or malicious code into the Platform or any protocol it interfaces with;
- Attempt to gain unauthorized access to any part of the Platform, server, database, or network connected to the Platform;
- Perform market manipulation, wash trading, spoofing, or any form of artificial price distortion;
- Harvest or scrape data from the Platform without MUWPay's prior written consent;
- Use automated scripts, bots, or tools to interact with the Platform in a manner that circumvents rate limits or access controls, except as expressly permitted by an applicable API agreement;
- Impersonate MUWPay or any person, or misrepresent your identity or affiliation;
- Violate any applicable local, national, or international law or regulation.
MUWPay reserves the right to suspend or permanently restrict access to the Platform for any user who violates these prohibitions, and to report suspected unlawful activity to relevant authorities.
9. No Financial Advice
Nothing on the Platform — including swap quotes, routing recommendations, token information, market data, or any other content — constitutes financial, investment, legal, tax, or regulatory advice. MUWPay is a technology provider, not a licensed financial advisor, broker-dealer, investment manager, or regulated financial institution.
All decisions to transact using the Platform are made solely by you at your own discretion and risk. You should consult qualified financial, legal, and tax professionals in your jurisdiction before making decisions about digital asset transactions.
Any reference to specific tokens, protocols, or chains on the Platform does not constitute an endorsement, recommendation, or warranty of their quality, security, or suitability for any purpose.
10. Modifications to Terms
MUWPay reserves the right to amend, update, or replace these Terms at any time at its sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and may provide notice through the Platform or other reasonable means.
Your continued use of the Platform after any modification becomes effective constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must immediately cease using the Platform. We recommend checking this page periodically to stay informed of any changes.
11. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them — including their formation, validity, interpretation, performance, breach, or termination — shall be governed by and construed in accordance with the laws of France, without regard to its conflict of laws principles.
Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Nanterre, France, unless mandatory applicable law requires a different forum.
If you are a consumer resident in a European Union member state, you may also have the right to submit a dispute to an alternative dispute resolution (ADR) entity or the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
